First draft — not in effect

This page is an outline of what the terms need to cover, not the terms themselves. Nothing here is legal text and nothing on it is binding on anyone. It exists so the brief can be handed to a terms generator or a lawyer who then writes the operative document.

Terms of Service

Seventeen clauses, each with the reason it exists on this platform specifically and the substance it needs to carry. Two of them — limitation of liability, and governing law — should not be written by anyone but a lawyer.

1.Acceptance and eligibility

Why it is here: Establishes that using the site is agreement to the terms, and sets a minimum age.

Accessing or using the platform means you accept these terms. You must be 18 or older. If you do not agree, do not use it.

2.Accounts and security

Why it is here: You issue accounts, so responsibility for credentials has to sit somewhere explicit.

You provide accurate registration details, keep your credentials confidential, are responsible for activity under your account, and tell us promptly about unauthorised use. Either side may close the account.

3.Educational purposes only — no advice

Why it is here: The single most important clause. You publish analytics a reader could act on.

Everything on the platform is educational and informational. Nothing is financial, investment, tax or legal advice, and nothing is a recommendation to buy or sell any asset. Trading involves substantial risk of loss and is not suitable for everyone. You are solely responsible for your decisions and should consult a licensed adviser.

This already appears in the site footer. The terms should state it at full length.

4.Third-party market data

Why it is here: The clause most specific to this platform. Prices, positioning and volatility all come from outside providers and are displayed publicly.

Market data originates from third-party providers. It may be delayed, incomplete, revised or interrupted. Accuracy, timeliness and availability are not guaranteed, and neither the platform nor its data providers are liable for loss arising from reliance on it. Data shown outside market hours reflects the last official close or settlement.

Check your provider agreements for what they REQUIRE you to say, and whether public display to non-subscribers is permitted at all. That is a contract question, separate from these terms.

5.AI assistant output

Why it is here: A local language model answers market questions on the site today. No clause currently covers it.

The assistant generates responses using a language model. Output is probabilistic, may be inaccurate or incomplete, is not advice, and must not be relied on without independent verification. You are responsible for any action taken on it.

6.Acceptable use

Why it is here: Lets you terminate abuse without arguing about whether it was prohibited.

No unlawful use, no scraping or automated bulk extraction, no attempt to circumvent access controls or rate limits, no malicious code, no interference with the service or other users, no misrepresenting your identity, no reselling or redistributing the platform's output.

7.Intellectual property

Why it is here: You own the code, copy, research write-ups and interface design.

The platform's software, text, research, charts, design and branding are owned by you or your licensors. Users get a limited, personal, non-transferable licence to access it. Underlying market data remains the property of its providers.

Copyright attaches automatically to your original expression; it does not cover raw market data or the methods themselves.

8.Accuracy, changes and availability

Why it is here: Analytics get revised, methods change, and a solo-run service has downtime.

Information is prepared in good faith but may become outdated. Figures are stated as of a particular date and methodology. Features may be added, changed, suspended or removed. Access may be interrupted for maintenance or reasons outside your control, and uptime is not warranted.

9.No warranties

Why it is here: Standard, and necessary to make the liability cap meaningful.

The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

10.Limitation of liability

Why it is here: Caps exposure. The clause a lawyer should actually review, because enforceability depends on wording and jurisdiction.

No liability for indirect, incidental, consequential, special or punitive damages, or for lost profits or trading losses. Total liability capped at a stated amount or at fees paid in the preceding period.

Get this one drafted properly. Over-broad caps get struck, and a struck cap leaves you with none.

11.Indemnification

Why it is here: Shifts the cost of a user's misuse back to that user.

You indemnify and hold the platform harmless against claims, losses and legal costs arising from your use of the service or your breach of these terms.

12.External links

Why it is here: You link to YouTube, X, LinkedIn and data providers.

Links to third-party sites are provided for convenience. Their content is not controlled or endorsed, and you follow them at your own risk.

13.Privacy

Why it is here: You hold accounts, so you process personal data.

Cross-reference the privacy policy: what is collected, why, how long it is kept, and who it is shared with.

A separate document. /privacy does not exist yet either.

14.Changes to these terms

Why it is here: Lets you update without re-papering every user.

Terms may be updated; the current version is posted with an effective date, and continued use after posting is acceptance.

15.Governing law and disputes

Why it is here: Fixes where any dispute is heard. Blank until you choose.

Governed by the laws of [your state]. Disputes resolved by [courts in your county / binding arbitration], venue [your county].

Your jurisdiction, not anyone else's. This is the clause most obviously copied when terms are lifted from another site.

16.Severability and entire agreement

Why it is here: Keeps the rest standing if one clause fails.

An unenforceable provision is severed and the remainder stays in force. These terms are the entire agreement between the parties.

17.Contact

Why it is here: Required in practice, and expected by payment processors and app stores later.

A monitored contact address for questions about these terms.

Deliberately left out — for now

Clauses that belong in someone else’s terms but would misdescribe this platform today. Terms that govern products you do not offer are worse than none: the document stops matching the service it governs.

Subscriptions, renewals, refunds, cancellations
Nothing is charged yet. This is where liability concentrates once it is — auto-renewal disclosure rules, the FTC click-to-cancel rule and state equivalents. Add it before taking a payment, not after.
Trade alerts and their redistribution
You publish analytics, not alerts. No signals are sent for anyone to forward.
Model portfolios and track records
Nothing on the public site claims performance. Needed the day the paper-trading ledger or strategy P&L becomes public-facing.
Courses and content access terms
No courses exist.

Prepared as a working brief. Not legal advice, and not drafted by a lawyer.
